Terms and Conditions
Nectis by Nectis Ltd. Last updated: August 26, 2026.
1. Definitions
- "Nectis" means the Nectis platform operated by Nectis Ltd.
- "User" means any person who accesses or uses Nectis.
- "Organisation" means the entity that has licensed access to Nectis.
- "Data" means all data entered into or generated by Nectis.
- "Platform Features" means the components of Nectis made available to the Organisation, which currently include network mapping (Nectograms), the Compass assessment tools, evidence and observation records, the report editor, and any integrations the Organisation chooses to connect.
- "AI-Assisted Output" means text, summaries or draft reports that Nectis generates with the help of automated language models.
- "Business Hours" means 09:00 to 17:00 GMT, Monday to Friday, excluding UK public holidays.
2. License
Subject to these terms, Nectis Ltd grants the Organisation a non-exclusive, non-transferable licence to use Nectis for the licence period specified in the Organisation's agreement. The licence covers the number of users and features specified in the agreement.
3. User Obligations
Users must not:
- Use Nectis for any unlawful purpose
- Attempt to access data belonging to other organisations
- Reverse engineer, decompile, or disassemble Nectis
- Upload malicious code or content
- Share login credentials with unauthorised parties
4. Data Ownership
The Organisation retains ownership of all data entered into Nectis. Nectis Ltd will not access Organisation data except as necessary to provide the service, respond to support requests, or comply with legal obligations.
5. Confidentiality
Both parties agree to keep confidential any information received from the other party that is marked as confidential or would reasonably be considered confidential. This obligation survives termination of the agreement.
6. Service Availability
Nectis Ltd will use reasonable efforts to maintain Nectis's availability. Planned maintenance will be scheduled outside Business Hours where possible, with advance notice. Nectis Ltd is not liable for downtime caused by circumstances beyond its reasonable control.
7. Support
Support is available via email during Business Hours. Nectis Ltd will respond to support requests within 2 business days.
8. Fees
Fees are as specified in the Organisation's agreement. All fees are exclusive of VAT unless stated otherwise. Invoices are payable within 30 days of issue.
9. AI-Assisted Output
Some Platform Features generate AI-Assisted Output, including drafted report text. This output is a starting point for a person to review and edit, not a finished product and not professional advice. Nectis Ltd does not warrant that AI-Assisted Output is accurate, complete or suitable for any particular purpose.
The Organisation remains responsible for anything it publishes, submits to a funder or regulator, or otherwise relies on, whether or not it was drafted with AI assistance. Where AI-Assisted Output is produced from Data, that Data is processed under the Organisation's instructions and the terms of our Privacy Policy, which lists the categories of service provider involved.
The Organisation owns AI-Assisted Output generated from its own Data on the same basis as the rest of its Data under clause 4.
10. Integrations
Nectis can connect to third-party services at the Organisation's choice. Where the Organisation enables an integration, Data may be sent to or received from that service, and the Organisation's use of it is governed by that provider's own terms rather than these. Nectis Ltd is not responsible for the availability, security or content of third-party services, and an integration can be disconnected by the Organisation at any time.
11. Termination
Either party may terminate the agreement with 30 days written notice. On termination, the Organisation's access to Nectis will be revoked and data will be available for export for 30 days, after which it will be permanently deleted.
12. Limitation of Liability
To the maximum extent permitted by law, Nectis Ltd's total liability under these terms shall not exceed the fees paid by the Organisation in the 12 months preceding the claim. Nectis Ltd shall not be liable for indirect, consequential, or incidental damages.
13. Governing Law
These terms are governed by the laws of Scotland. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
14. Changes
Nectis Ltd may update these terms from time to time. Material changes will be communicated with at least 30 days notice. Continued use of Nectis after changes take effect constitutes acceptance.
